Số hiệu 121/2020/TT-BTC Loại văn bản Thông tư Nơi ban hành Bộ Tài chính Người ký Huỳnh Quang Hải Ngày ban hành 31/12/2020 Ngày hiệu lực Đã biết Ngày công báo Đã biết Số công báo Đã biết Tình trạng Đã biết Nguyên tắc xây dựng Điều lệ công ty chứng khoán Đây là nội dung đáng chú ý tại Thông tư 121/TT-BTC năm 2020 về hoạt động của công ty chứng khoán CTCK.Theo đó, CTCK khi xây dựng Điều lệ công ty ngoài việc tuân thủ các quy định tại Thông tư 121/TT-BTC phải thực hiện nguyên tắc sau 1 Điều lệ công ty không được trái với quy định của Luật Chứng khoán và Luật Doanh nghiệp. 2 CTCK là công ty đại chúng căn cứ quy định của Luật Chứng khoán, Luật Doanh nghiệp và Thông tư 121/TT-BTC để xây dựng Điều lệ; CTCK phải tham chiếu Điều lệ mẫu đối với công ty đại chúng theo quy định về quản trị công ty áp dụng đối với công ty đại chúng khi xây dựng Điều lệ; 3 CTCK là công ty cổ phần chưa đại chúng hoặc là công ty TNHH khi xây dựng Điều lệ phải phù hợp với quy định của Luật Chứng khoán, Luật Doanh nghiệp; 4 CTCK khi xây dựng điều lệ công ty phải tham chiếu nội dung tại điểm 2, 3; Ngoài ra, phải quy định cụ thể các nội dung quy định tại khoản 4 Điều 5 Thông tư 121/TT-BTC trong Điều lệ công ty; 5 CTCK phải đăng tải toàn bộ Điều lệ công ty trên trang thông tin điện tử chính thức của CTCK. The securities company employing the operating model stipulated in point a of clause 1 of Article 137 in the Enterprise Law must comply with the following regulations a The Head of the Supervisory Board of a securities company shall not hold the dual office as the member of the Supervisory Board or the executive of another securities company; b The Supervisory Board must formulate control or supervision procedures that are submitted to the General Meeting of Shareholders or the Members’ Council to seek its approval decision;c If the Supervisory Board is composed of at least 02 members, it must convene at least twice every year. The meeting minutes must contain full and accurate discussions and must be deposited or archived as legally required;d When finding that any member of the Governing Board, the Members’ Council, the Board of General Directors Board of Directors violates laws, the corporate Charter, leading to infringement upon the rights and interests of the company, shareholders, Owners or customers, the Supervisory Board shall be responsible for requesting explanations to be given within a certain period of time or recommending the General Meeting of Shareholders, the Members’ Council or the Owners to convene to seek solutions. The securities company must ensure that the internal audit is free from any interference in duly performing their duties;Internal audit staff must be impartial in the collection, assessment and communication of information about audited operations, processes, procedures or systems.
